These Terms of Service (“Terms”) govern your access to and use of the hosted services made available by Quant NexusAI Inc., operating as NovoMCP (formerly NovoQuantNexus) (“NovoMCP,” “we,” “our,” or “us”) — including the FAVES compliance API at api.novomcp.com, any per-org cloud deployment we operate on your behalf, and the marketing website (collectively, the “Service”). These Terms do not govern use of the open-source NovoMCP engine itself; that is licensed separately under the Apache License 2.0 (with the orchestration core under BSL 1.1 → Apache 2029-07-12) — see the LICENSE file in the public repository at https://github.com/NovoMCP/novomcp.
Please carefully read these Terms, along with our Privacy Policy and all other documents referenced herein. Together, these documents form a single binding agreement between you and NovoMCP (the “Agreement”). By accessing or using the Service, or by clicking accept or agree when this option is made available to you, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
NOTICE REGARDING ARBITRATION: WHEN YOU AGREE TO THIS AGREEMENT, YOU ARE AGREEING TO RESOLVE DISPUTES BETWEEN YOU AND NOVOQUANTNEXUS THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW SECTION 12 CAREFULLY.
1. Access to the Service
1.1 Age Restrictions
The Service is offered to users who are at least 18 years old. By using the Service, you represent and warrant that you meet this age requirement. If you do not meet this requirement, you must stop using the Service immediately.
1.2 User Accounts and API Keys
Access to the Service depends on which path you use. If you self-host the open-source engine, authentication credentials are minted and managed by your own auth service (per the deploy guide) and are outside the scope of these Terms. If NovoMCP operates a cloud deployment on your behalf, we provision API keys during onboarding on your dedicated subdomain. In either case, all personal data you provide is governed by our Privacy Policy. The information you provide must be accurate, complete, and current.
Your API key is confidential. You are responsible for keeping it secure and for all activity under your key. API keys are shown once at creation and cannot be retrieved afterward; we store only a SHA-256 hash. You agree not to provide any other person with access to the Service using your account or API key, and you accept full responsibility for any use of and activity on your account, whether authorized by you or not.
You agree to immediately notify us of any unauthorized access to or use of your account credentials or any other breach of security. We reserve the right to revoke any API key or suspend any account at any time.
1.3 License Grant
NovoMCP grants you a limited, revocable, non-sublicensable, non-transferable, and non-exclusive license to use and access the Service during the Term (as defined below), subject to your compliance with this Agreement. NovoMCP reserves all rights not expressly granted to you under this Agreement.
The Service is subject to modification and change, including but not limited to the underlying algorithms, computational methods, machine learning models, tools, and features made available to you. Except as otherwise agreed in a separate written agreement between you and NovoMCP (“Order”), no guarantees are made with respect to the Service’s quality, stability, uptime, or reliability, and we will not be liable if for any reason all or any part of the Service is unavailable at any time for any period.
2. Using the Service
2.1 Pricing
Two ways to run the engine, both described at novomcp.com/pricing:
- Self-hosted — Free forever. The complete engine (MCP + REST server, 68 tools, all ADMET / property prediction models, all compute-service reference images) is licensed under Apache-2.0 (with the orchestration core under BSL 1.1 → Apache 2029-07-12). You run it on your own infrastructure. These Terms do not govern that use; the applicable license lives in the public repository at github.com/NovoMCP/novomcp.
- Cloud deployment — Contact for pricing. NovoMCP operates a per-org deployment on your behalf on a dedicated subdomain (e.g.
yourorg.novomcp.com), with SAML SSO, the certified FAVES API (SLA, immutable audit-log retention, IQ/OQ/PQ documentation), a GPU compute pool for docking and MD, backups and disaster-recovery with regional data residency, upgrades on the weekly release train, and a named on-call engineer with response-time SLA. Pricing and any credit or usage-metering model is defined in the applicable Order.
The certified FAVES compliance API is a hosted service — access is granted per pipeline. Contact novomcp.com/sales-inquiry.
2.2 User Content
As part of your use of the Service, you may upload, submit, transmit, or display molecular structures, SMILES strings, queries, data files, or other materials (“User Content”) for analysis and processing. You represent and warrant that you have all rights, licenses, and permissions needed to submit such User Content and the legal right and authority to grant NovoMCP the license set forth herein.
You will not use the Service to transmit or submit any sensitive personal data, such as patient health information, birth dates, social security numbers, or financial information.
2.3 Acceptable Use
The Service is designed for research, development, and commercial drug discovery. You shall not:
(i) use the Service to design controlled substances, chemical weapons, or any compound intended to cause harm to human health or safety;
(ii) violate any applicable federal, state, local, national, or international laws or regulations;
(iii) reverse engineer, decompile, disassemble, modify, or create derivative works of the Service, or attempt to derive source code;
(iv) develop or offer competitive products or services using the Service, or engage in competitive analysis;
(v) circumvent rate limits, access controls, or security mechanisms;
(vi) share, resell, or redistribute API keys or access to the Service;
(vii) allow multiple users to use a single account or API key;
(viii) introduce any virus, Trojan horse, malware, or other malicious code through the Service; or
(ix) use outputs as a substitute for professional medical, regulatory, or legal advice.
FAVES regulatory screening and all computational chemistry outputs (including pKa predictions, solubility estimates, bond dissociation energies, docking scores, strain energies, quantum chemistry calculations, and conformer rankings) are informational tools. Users are responsible for experimental validation and for verifying compliance with applicable laws before use in regulatory submissions, clinical decisions, or patient-facing applications.
2.4 Trade Controls
You will comply with all applicable trade laws, including sanctions and export control laws. The Service may not be used in or for the benefit of, or exported or re-exported to (a) any countries where export from the United States or into the country is prohibited or illegal without first obtaining the applicable license, or (b) any individual or entity with whom dealings are prohibited or restricted under applicable trade laws.
3. Intellectual Property
3.1 NovoMCP Intellectual Property
The NovoMCP engine, wrappers, surfaces, and trained models (including the NovoExpert ADMET and clinical-outcome model family) are open-sourced under the Apache License 2.0, with the orchestration core under the Business Source License 1.1 (change date 2029-07-12 to Apache-2.0); see the LICENSE file in the public repository at https://github.com/NovoMCP/novomcp for the operative terms of the open components. Notwithstanding those licenses, NovoMCP retains all right, title, and interest in and to the Service delivered under this Agreement, including the FAVES certified compliance service (SLA, immutable audit-log retention, drift monitoring, and IQ/OQ/PQ documentation), the hosted cloud deployment infrastructure, any proprietary datasets furnished under separate license, all associated trademarks, service marks, patents, know-how, and trade secrets.
3.2 Ownership of User Content; License to NovoMCP
You retain all right, title, and interest in your User Content. By using the Service and submitting User Content, you grant NovoMCP a limited, worldwide, non-exclusive, royalty-free license to process submitted molecular data solely for the purpose of providing the Service to you. Query data is processed in memory and not persistently stored beyond the duration of the computation.
3.3 Output Data
Results generated by the Service may be used for your research and business purposes without restriction. You may not resell raw outputs as a competing product or service.
3.4 Publicity
NovoMCP will request your permission before using your name, logo, or trademarks in any marketing materials, website, press releases, customer lists, or case studies to identify you as a customer of the Service.
If your use of the Service contributes to or results in a scientific, academic, or research publication, you agree to provide appropriate acknowledgement by citing NovoMCP in accordance with any citation guidelines we may provide.
4. Data Connectors and Pipelines
Cloud deployments may connect the Service to external data systems including Snowflake, Databricks, BigQuery, and Supabase. You are responsible for authorization to read and write data in your target systems. Connector credentials are stored in AWS Secrets Manager. All pipeline operations are logged for audit. Batch sizes are limited to 10,000 rows per operation. Data pulled from connected systems is processed in memory and not persistently stored.
5. Billing and Payments
Fees and applicable charges for cloud deployments will be billed as specified in the applicable Order.
Subscription terms, renewal cadence, and cancellation notice periods are defined in the Order. For annual subscriptions, we will provide renewal notice 30 days before renewal.

Unless otherwise specified in an Order, all fees are quoted and payable in United States dollars and are exclusive of applicable taxes. Failure to pay fees by the due date may result in suspension or termination of the Service, and all outstanding fees will become due immediately. Unless otherwise provided in this Agreement or an Order, all fees paid are non-cancelable and non-refundable.
NovoMCP may process payments through a third-party payment service provider (currently Stripe). The third-party provider’s terms of service shall govern billing and payment processing.
6. Term and Termination
The term of this Agreement commences on the date you first use the Service, or the applicable effective date of an Order, whichever is earlier, and continues until terminated (the “Term”).
You may stop using the Service at any time. We reserve the right to suspend your access or terminate this Agreement if (i) we need to prevent a credible risk of harm or liability to NovoMCP or a third party; (ii) you violate these Terms; (iii) we are required to do so by law; or (iv) for suspected abuse or non-payment. We will take reasonable steps to provide written notice prior to such suspension or termination.
Upon termination, API keys are revoked and access ceases. Any terms that by their nature should survive termination will survive, including provisions relating to payment, intellectual property, disclaimers, indemnification, limitation of liability, and dispute resolution.
7. Warranties and Disclaimers
7.1 Limited Warranty
NovoMCP warrants that the Service will perform substantially as described in standard documentation and will not materially decrease overall functionality during the applicable term. Our sole obligation for any breach of this warranty will be to use commercially reasonable efforts to repair or replace the affected functionality.
7.2 Disclaimers
Except as expressly set forth above, the Service is provided “as-is” and “as-available” without warranty of any kind, either express or implied. NovoMCP does not make any warranty or representations with respect to the completeness, security, reliability, quality, accuracy, or availability of the Service.
Without limiting the foregoing, NovoMCP does not represent or warrant that the Service or content generated by the Service will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, or that the Service will otherwise meet your needs or expectations.
All computational chemistry results, including but not limited to pKa predictions, solubility estimates, bond dissociation energies, ADMET predictions, docking scores, strain energies, conformer rankings, molecular dynamics simulations, and regulatory compliance screenings, are computational estimates provided for research and informational purposes only. They do not constitute professional medical, regulatory, or legal advice and should be validated experimentally before use in regulatory submissions or clinical decisions.
NovoMCP hereby disclaims all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for a particular purpose.
8. Indemnification
You agree to defend, indemnify, and hold harmless NovoMCP, as well as our shareholders, directors, officers, employees, agents, advisors, affiliates, assignors, and licensors, from and against any and all third-party claims, causes of action, demands, liabilities, damages, losses, fines, penalties, costs and expenses, and settlements, including without limitation reasonable attorney’s fees, arising from or related to: (i) your unauthorized use of the Service; (ii) your breach of any provision in this Agreement; (iii) your violation of applicable laws; or (iv) your User Content.
9. Limitation of Liability
In no event will either you or NovoMCP be liable for any indirect, incidental, special, or consequential damages, including but not limited to the loss of revenue, profits, data, use, or the cost of procurement of substitute services, incurred or suffered by the other party or any third party in connection with this Agreement, whether in an action in contract, tort, based on a warranty, or otherwise, even if such party has been advised of the possibility of such damages.
In no event will either party’s aggregate liability related to this Agreement exceed the amount actually paid or payable by you to NovoMCP in the twelve (12) months prior to the first incident that gave rise to the liability, or $100, whichever is greater.
10. Privacy and Data Handling
Your use of the Service is also governed by our Privacy Policy. Molecular data submitted for processing is handled in memory during computation and is not persistently stored. The NovoWorkbench desktop application operates with a local-first architecture; molecular data processed locally does not leave your device unless explicitly sent to cloud services.
11. Security
The NovoWorkbench desktop application is signed and notarized for macOS (Apple Team ID: 8N9K9B7Y69). For cloud deployments, API keys are stored as SHA-256 hashes and connector credentials are stored in AWS Secrets Manager. All API communications are encrypted in transit via TLS.
While no system can be completely immune to all threats, NovoMCP maintains security measures designed to safeguard your data from unauthorized access, misuse, loss, or alteration. We regularly review and update security protocols.
12. Dispute Resolution
In the event a dispute, controversy, or claim arises out of or relating to these Terms (“Dispute”), the complaining party shall first attempt in good faith to resolve the Dispute by delivering written notice to the other party describing the facts and circumstances, and allowing the receiving party thirty (30) days from the date of notice delivery to respond.
If the Dispute is not resolved within thirty (30) days after notice is delivered, the Dispute shall be resolved by binding arbitration by the American Arbitration Association in accordance with its Expedited Commercial Rules. The parties will mutually select one arbitrator, and the arbitration shall be conducted in New Castle County, Delaware, USA.
EACH PARTY AGREES THAT THEY ARE KNOWINGLY AND IRREVOCABLY WAIVING THE RIGHT TO TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM AND THE RIGHT TO JOIN AND PARTICIPATE IN A CLASS ACTION, TO THE FULLEST EXTENT PERMITTED UNDER THE LAW IN CONNECTION WITH THIS AGREEMENT.
The arbitration award will be final and binding and its execution may be presented in any competent court. Each party will bear its own legal fees and expenses regardless of the arbitrator’s final decision. Either party may apply to any competent court for injunctive or other equitable relief necessary to protect its rights pending resolution.
13. General Provisions
13.1 Governing Law
This Agreement will be governed by the laws of the State of Delaware, United States, excluding its conflicts of law rules. Except as provided in the dispute resolution section above, all claims arising out of or relating to this Agreement will be brought exclusively in the federal or state courts of New Castle County, Delaware.
13.2 Waiver and Severability
No waiver by us of any term or condition shall be deemed a further or continuing waiver of such term or any other term. If any provision of this Agreement is deemed invalid or unenforceable, that provision will be limited or severed to the extent necessary so that the Agreement will otherwise remain in full force and effect.
13.3 Assignment
You may not assign or transfer this Agreement without our prior written consent. Any attempt to do so without consent will be null and void. NovoMCP may assign, transfer, delegate, or sublicense this Agreement at our sole discretion without restriction. Subject to the foregoing, the Agreement will bind and inure to the benefit of the parties, their successors, and permitted assigns.
13.4 Service Modifications
NovoMCP reserves the right to update, modify, or discontinue tools, models, computational methods, features, and other aspects of the Service at any time without prior notice. We will make reasonable efforts to communicate material changes that may affect your workflows.
13.5 Entire Agreement
This Agreement contains the entire agreement between you and NovoMCP regarding the Service and supersedes any prior or contemporaneous agreements.
